STOCK PURCHASE AGREEMENT, dated as of March 18, 2014 (this “Agreement”), by and among Cypress Insurance Group, Inc., a Delaware corporation (the “Company”), Cypress Group Holdings, Inc., a Florida corporation (together with its successors and permitted assigns, the “Buyer”), each of the holders of the Equity Interests (as defined herein) of the Company and the Subsidiaries (as defined herein) (each, a “Securityholder” and collectively, the “Securityholders”) and Onex Corporation, as the Securityholders’ representative (together with its successors, the “Securityholder Representative”).
