This Escrow Agreement (the “Escrow Agreement”), dated as of July 1, 2019, is entered into by and between the Modesto Irrigation District, an irrigation district duly organized and existing under and by virtue of the laws of the State of California (the “District”), and Wells Fargo Bank, National Association, a national banking association duly organized and existing under and by virtue of the laws of the United States of America and having a corporate trust office in San Francisco, California, as successor trustee (the “Successor Trustee”) to the Predecessor Trustee (as defined herein) and as escrow agent (the “Escrow Agent”) under this Escrow Agreement;
