This Marketing Services Agreement (this “Agreement”) is entered into by and between the Party (as defined herein) identified as the Client in the signature block herein (the “Client”, and CSTMR LLC, a Texas limited liability company (“CSTMR”), effective as of the date last signed by a Party below (“Effective Date”). Each of CSTMR and Client are also referred to herein, from time to time, as a “Party” and collectively, as the “Parties.” For the purposes of this Agreement, an “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with such Party or its successor entity. In consideration of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Parties agree as follows:
