This PURCHASE AND SALE AGREEMENT, dated as of April 1, 2015 (the “Effective Date”) is made and entered into by and among Wind Capital Group, LLC, a Delaware limited liability company (“WCG” or “LC Seller”), and Lincoln County Wind Project Finco, LLC, a Delaware limited liability company (“PR Seller,” and together with LC Seller, the “Seller Parties”), and Pattern Energy Group Inc., a Delaware corporation (“Purchaser”).
