The Company has authorised the issue of NCB FINANCIAL GROUP LIMITED USD$ Unsecured Fixed Rate Bond, due 2025 for an aggregate principal amount of up to Two Billion Five Hundred Million Jamaican Dollars ($2,500,000,000.00) provided however that the Company may upsize the offer to Three Billion Seven Hundred and Fifty Million Jamaican Dollars ($3,750,000,000.00) (“the Bond”). The Bond will be issued pursuant to a term sheet (“the Term Sheet”) approved by the Company and the same constituted by a trust deed (“the Trust Deed”) between the Company and JCSD Trustee Services Limited, as trustee (“the Trustee”), the Bond to be held by the trustee on behalf of the Purchaser and the Other Purchasers (as hereinafter defined) representing their beneficial interest in the Bond.
