THIS FISCAL AGENT AGREEMENT (the “Agreement”), dated as of August 1, 2014, is by and between the COUNTY OF MARIN, CALIFORNIA, a political subdivision of the State of California (the “County”), and THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A., a national banking association organized and existing under the laws of the United States of America, as fiscal agent (the “Fiscal Agent”).
