(“Company”) and ______________ (the “Executive”). The Company and the Executive are collectively referred to herein as the “Parties” and individually referred to as a “Party.” WITNESSETH THAT WHEREAS, the Executive is employed by the Company as an executive of the Company or one or more of the Company’s subsidiaries; and WHEREAS, the Board of Directors of the Company (the “Board”) has decided that the Company should provide certain compensation and benefits to the Executive in the event that the Executive’s employment is terminated under certain circumstance in connection with a Change in Control (as defined below). NOW, THEREFORE, in consideration of the promises and the mutual covenants contained herein, the Parties agree as follows:
