THIS PARTICIPATION AGREEMENT (together with all exhibits and schedules appended hereto, this “Agreement”) is dated as of September 9 , 2020 (the “Effective Date”), by and between VIRGINIA ELECTRIC AND POWER COMPANY, a Virginia public service corporation and a wholly-owned subsidiary of Dominion Energy, Inc. (“Dominion Energy Virginia”), and the SCHOOL BOARD OF FAIRFAX COUNTY, VIRGINIA a body politic and political subdivision of the Commonwealth of Virginia and governing body of Fairfax County Public Schools (the “School Board”). Dominion Energy Virginia and the School Board each may be referred to herein as a “Party”, and collectively as the “Parties.”
