This GPOAC confirms agreement by Participant on behalf of itself and each Location that, in consideration of being granted access to the HPG Group Purchasing Program (the “Program”) and the Vendor Contracts available under the Program, Participant and each Location will comply with, and be bound by, all of the terms and conditions of the Participation Agreement as if a party thereto. This GPOAC further confirms agreement that, with regard to purchases made by Participant and any Location under the Vendor Contracts, each will purchase products from Vendor only for its “own use” in the provision of healthcare services; and Participant and each Location will comply with all terms and conditions of such Vendor Contracts, including without limitation payment terms, compliance levels, and arbitration or other dispute resolution provisions. Participant and each Location recognize that failure to comply with these obligations could result in termination of the Participation Agreement.
