THIS SERVICES AGREEMENT (the "Agreement") is entered into as of the December 2, 2019 (the "Effective Date"), between Host Compliance LLC, ("Host Compliance") and Town of Nederland, with an address at 45 W 1st St, Nederland, CO 80466 (the "Customer"). This Agreement sets forth the terms and conditions under which Host Compliance agrees to license to Customer certain hosted software and provide all other services necessary for Customer's productive use of such software (the "Services") as further described in the attached Schedule 1.

THIS SERVICES AGREEMENT (the "Agreement") is entered into as of the Effective date, which is defined as the date upon which the Town enacts Local Law 2 of 2019 which contains provisions that require the administration of data identified under this Agreement (the "Effective Date"), between Host Compliance LLC, ("Host Compliance") and Town of Chatham, with an address at 488 State Route 295, Chatham, NY 12037 (the "Customer"). This Agreement sets forth the terms and conditions under which Host Compliance agrees to license to Customer certain hosted software and provide all other services necessary for Customer's productive use of such software (the "Services") as further described in the attached Schedule 1.
