THIS CREDIT AGREEMENT, dated as of September 16, 2009, is entered into by and among: (1) NETFLIX, INC., a Delaware corporation (the “Borrower”); (2) each of the financial institutions party to this Agreement from time to time (each a “Lender” and, collectively, the “Lenders”); and (3) WELLS FARGO BANK, NATIONAL ASSOCIATION (“Wells Fargo”, as administrative agent for the Lenders (in such capacity, the “Administrative Agent”)) and L/C Issuer. Wells Fargo Securities, LLC has been given the title of lead arranger and sole bookrunner in connection with this Agreement (in such capacity, the “Lead Arranger”).

This AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of September 18, 2007, among BRE PROPERTIES, INC., a Maryland corporation (the “Borrower”), each of WACHOVIA CAPITAL MARKETS, LLC and RBS SECURITIES CORPORATION, as joint lead arranger and joint book manager, THE ROYAL BANK OF SCOTLAND, PLC, as syndication agent, each of BANK OF AMERICA, N.A., JPMORGAN CHASE BANK, N.A. and DEUTSCHE BANK SECURITIES, INC., as co-documentation agents, the several financial institutions from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and WACHOVIA BANK, NATIONAL ASSOCIATION, as Administrative Agent, Swing Line Lender and L/C Issuer.
