This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of establishing a framework for technologies, facilities, and services to support the research and development of a Data and Reasoning Fabric (DRF) prototype for future air mobility. Under the Umbrella Agreement, NASA and AAI will investigate technology areas that can be enabled/enhanced by DRF to deliver significant improvement to the accuracy and latency in mission critical decision making and attempt to field test the capabilities. The Umbrella Agreement will be supplemented as needed by annexes with the purpose of exploring the use of the NASA Data & Reasoning Fabric (DRF) to improve data access, in collaboration with AAI's advanced air mobility information and decision support activities.

In accordance with the National Aeronautics and Space Act (51 U.S.C. § 20113(e)), this Agreement is entered into by the National Aeronautics and Space Administration Ames Research Center, located at Moffett Field, CA 94035 (hereinafter referred to as "NASA" or "NASA ARC") and The Boeing Company located at 5301 Bolsa Avenue, Huntington Beach, CA 92647- 2048 (hereinafter referred to as "Partner" or "Boeing"). NASA and Partner may be individually referred to as a "Party" and collectively referred to as the "Parties.”
