THIS AGREEMENT is entered into by and between HotelEngine, Inc., whose address is 720 S. Colorado Blvd., Suite 1050-S, Denver, CO 80246, (the “Contractor”), and the State of New Jersey, Department of the Treasury, Division of Purchase and Property (“Division”), whose address is 33 West State Street, Trenton, NJ 08625, on behalf of State of New Jersey Using Agencies (State Using Agencies and the Division are collectively referred to as the “State.”); the State and the Contractor may be referred to collectively as the “Parties”; and
