THIS NETWORK SERVICES AGREEMENT (this “Agreement”) is entered into as of ___________, 2011 (the “Effective Date”) by and between National LambdaRail, Inc., a Delaware non-profit corporation authorized to do business in California, with offices at [STREET ADDRESS], [CITY], CA [ZIP] (“Supplier”), and the Regents of the University of California on behalf of itself and its Santa Cruz campus, a public trust organized under the Constitution of the State of California, with offices at 1156 High Street, Santa Cruz, CA 95064 (“Customer”). Capitalized terms not otherwise defined herein shall have the meaning set forth in Section 12.
