This Asset Purchase Agreement (“Agreement”) is made and entered into as of March 29, 2019 by and among Rae of Sunshine Health Services, LLC a Colorado limited liability company (“ROSH”), ROSH Operating LLC, a Colorado limited liability company (“ROSH Operating”), ROSH IP LLC, a Colorado limited liability company (“ROSH IP”) (ROSH Operating and ROSH IP each a “Subsidiary”, together with ROSH the “Sellers”), Vital Health Management Services, LLC, a Colorado limited liability company (“VHMS”), Healthcare Consulting Specialists, LLC, a Colorado limited liability company (“HCS”) (VHMS and HCS collectively being the “Equityholders”), MVC Technologies USA Inc., a Delaware corporation (“Buyer”) and CB2 Insights Inc., a corporation incorporated under the federal laws of Canada and sole stockholder of the Buyer (“Parent”). Capitalized terms used and not otherwise defined in this Agreement have the meanings set forth in Section 9.10 of this Agreement.
