This Master Joinder Agreement is made on the terms and subject to the conditions set forth in the Notice to Uninsured Holders dated May 16, 2019 (the “Notice”) and that certain Definitive Restructuring Support Agreement, dated as of May 3, 2019, by and among PREPA, AAFAF, FOMB and the Supporting Holders party thereto together with the annexes, exhibits and schedules attached thereto, and as it may be amended, restated, supplemented or otherwise modified from time to time in accordance with its terms, the “RSA” or the “Definitive Restructuring Support Agreement”). Capitalized terms which are not otherwise defined herein shall have the meanings ascribed to such terms in the Notice or the Definitive Restructuring Support Agreement.
