This Master System and Services Agreement ("Master Agreement") is entered into as of (the "Effective Date") between Tiburon, Inc., a Virginia corporation, having its principal place of business at 3000 Executive Parkway, Suite 500, San Ramon, California 94583 ("Service Provider") and City of Burbank, ("Customer"), collectively referred to herein as the "Parties" or individually as a "Party." The terms and conditions contained in this Master Agreement shall govern the Project and all Subscription Services to be provided to Customer by Service Provider. Unless expressly set forth in the attached Statement of Work Exhibit A, no other terms and conditions shall apply to the performance of the Project or Subscription Services, including, but not limited to, any additional terms and conditions on Customer provided purchase order documents.
