AGREEMENT made as of the 1st day of July, 2023, (the “Effective Date”) by and between the CITY OF PORTLAND, a municipal corporation of the State of Maine, (the "City") and DOWNTOWN IMPROVEMENT DISTRICT, INC., d/b/a PORTLAND
