THIS INDENTURE (this “Indenture”), executed and entered into as of October 1, 2017, is by and among the COSTA MESA FINANCING AUTHORITY, a joint exercise of powers entity that is duly organized and existing under the laws of the State of California (the “Authority”), the CITY OF COSTA MESA, a municipal corporation and general law city that is duly organized and existing under and by virtue of the Constitution and laws of the State of California (the “City”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association that is duly organized and existing under and by virtue of the laws of the United States, as Trustee (the “Trustee”).
