This Second Amended and Restated Operating Agreement (this “Agreement”) is entered into as of this 6th day of November, 2009 (the “Effective Date”), by and among Constellation Nuclear, LLC (“CNL”), a Delaware limited liability company and wholly owned subsidiary of Constellation Energy Group, Inc. (“EDFI”), as Members (as defined below), Constellation Energy Nuclear Group, LLC, a Maryland limited liability company (the “Company”), for the purposes of Section 13.5 only, EDFI, and for the purposes of Sections 8.4(b) and 13.5 only, Constellation.
