This ASSIGNMENT, PURCHASE AND SALE AGREEMENT, dated to be effective as of September 1, 2020 (this “Sale Agreement”), among the GOVERNMENT OF THE VIRGIN ISLANDS (the “Government”), the MATCHING FUND SECURITIZATION CORPORATION, a special purpose, independent and autonomous public corporation and governmental instrumentality of the United States Virgin Islands (the “Corporation”), and THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A., a national banking association, as Trustee under the Indenture (as defined herein.
