THIS DONATION AGREEMENT FOR WELL SITES AND EASEMENTS FOR WELL SITES (“Agreement”) is made and entered into by and between TERRAPOINTE LLC, a Delaware limited liability company, whose address is 50 North Laura Street, 19th Floor, Jacksonville, FL 32202 (“TERRAPOINTE”); RAYONIER FOREST RESOURCES, L.P., a Delaware limited partnership f/k/a Rayonier Timberlands Operating Company, L.P., whose address is 1901 Island Walkway, Fernandina Beach, FL 32034 ("RFR"); and the CITY OF PALM COAST, FLORIDA, a municipal corporation organized under the laws of the State of Florida, whose address is 160 Cypress Point Parkway, Suite B-106, Palm Coast, Florida 32164 ("CITY").
