This Professional Services Agreement, including its exhibits and any amendments (“Agreement”) and Statements of Work (each an “SOW”) sets forth the terms and conditions under which Andre Elijah Immersive Inc. and/or its Affiliates with an office at 807 660 Briar Hill Ave., Toronto, Ontario, CANADA M6B 4B7 (“Vendor”) is a service provider who will provide professional services (“Services”) and Deliverables (as defined below) to Meta Platforms Technologies LLC, f/k/a Facebook Technologies, LLC with offices at 1 Hacker Way, Menlo Park, CA 94025 (“Meta Tech”) and/or its Affiliates. Vendor and Meta Tech are each a “Party” and together the “Parties” under this Agreement. This Agreement is effective as of August 16, 2022 (“Effective Date”).
