The parties agree as follows: 1. Background. 1.1 March. Licensor is the owner of all rights, title and interest to and for the brands “cPanel,”, “Enkompass”, “WHM”, “Webhost Manager”, the cPanel logo a copy of which is attached here as Exhibit A (the “Trademarks”) and the good will appering thereto.2. Concession of the trademark license. 2.1 Grant of the trademark licence. Pursuant to the terms and conditions of this Agreement, the Licensee grants and the Licensor accepts, for the term (as defined below), the non-exclusive, non-transferable, revokeable right to use the Trademarks. None of this Agreement shall be interpreted to prevent Licensor from granting any other licences for the use of Trademarks or using Trademarks in any undertaking. 2.2 License fee. In view of the licence issued in Section 2.01, the Licensor agrees to pay the Licensor an annual fee in the amount of $5,00 payable annually for the anniversary of the actual date.3.
