This Service Coordination Services Agreement (this "Agreement") is made and entered into to be effective this 1st day of April 2012 (the "Effective Date"), by and among National Church Residences, an Ohio non-profit corporation, having its principal office at 2233 North Bank Drive, Columbus, Ohio 43220; (Agency), and The City of Upper Arlington (City). All provisions as set forth in the Request for Proposal dated January 25,2012 attached as Exhibit (A) and the Proposal submitted by Agency attached as Exhibit (B) and Addendum No.1 attached Exhibit (C) and the Memorandum of Understanding submitted by Agency attached as Exhibit (D) are integrated and made part of this Agreement. If there is a conflict between this Agreement, Exhibit (A) and Exhibit (B), and Exhibit (C) and Exhibit (D) it shall be resolved in the following order: Exhibit (A) and Exhibit (C) shall prevail over any conflict with provisions including terms and conditions contained in Exhibit (B) and Exhibit (D).
