This Purchase and Sale Agreement (“Agreement”) is entered into by and between the Massachusetts Technology Park Corporation, doing business as the Massachusetts Technology Collaborative, an independent public instrumentality of the Commonwealth of Massachusetts and the administrator of the Massachusetts Renewable Energy Trust Fund (“MTC”), and [insert name of counterparty (“Counterparty”), on this [ ] day of [ ], 2009.
