This Agreement (“Agreement”) shall be deemed effective as of December 13, 2001 (the “Effective Date”), between Network Telephone Corporation (“NTC”), a corporation organized under the laws of the State of Florida, with offices at 815 South Palafox Street, Pensacola, Florida 32501 and Verizon South, Inc., f/k/a GTE South Incorporated (“Verizon”), a corporation organized under the laws of the Commonwealth of Virginia with offices at 4100 Roxboro Rd., Durham, NC 27704- 2166 (Verizon and NTC may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
