WHEREAS Chantrell and Osisko Mining Inc. (“Osisko”) have entered into that certain arrangement agreement (the “Osisko Arrangement Agreement”) on May 14, 2019 providing for the arrangement of Chantrell and Osisko (the “Osisko Arrangement”), pursuant to the provisions of Section 182 of the OBCA on the terms and conditions consistent with the plan of arrangement (the “Osisko Plan of Arrangement”) attached to the Osisko Arrangement Agreement, and any amendment or variation thereto made in accordance with the Osisko Plan of Arrangement;
