(the “Company”) are parties to an employment agreement dated July 6, 2015 (“Employment Agreement”). The purpose of this letter is to request that you agree to amend your Employment Agreement to bring the severance provisions of your Employment Agreement into compliance with the Affordable Care Act. Unless your severance benefits are amended, we are concerned that tax penalties under the Affordable Care Act may be imposed on you and/or the Company if your Employment Agreement is not amended prior to the termination of your employment with the Company. The Company believes that by amending your Employment Agreement, you and/or the Company may avoid the adverse personal tax consequences under the Affordable Care Act. If you choose to amend
