This FIRST AMENDMENT (“First Amendment”) is entered into as of February [__],April 9, 2013 (“Effective Date”), by and between Sony Pictures Television Korea Inc., a Delaware corporation operating in Korea through its registered Korean branch office (“Licensor”), and SK Planet Co., Ltd., a corporation organized and existing under the laws of the Republic of Korea with an address at 11, Euljiro 2-ga, Jung-gu, Seoul 100-999, Korea (“Licensee”), and amends the VOD & DHE License Agreement entered into by Licensor and Licensee on September 28, 2012 (“Original Agreement”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee hereby agree to amend the Original Agreement as follows:
