This Assignment and Assumption of Supply Agreement (this “Agreement”) is made and entered into this 3rd day of June, 2014 by and among Orchids Paper Products Company, a Delaware corporation (“Orchids”), and Elgin Finance & Investment Corp., a Panamanian corporation (“Elgin”).
