THIS AGREEMENT ("Agreement") dated , 2006 (the "Effective Date"), is made by and between Southwestern Bell Telephone, L.P., a Texas limited partnership doing business in Missouri as AT&T Missouri ("AT&T Missouri"), and the City of Overland, Missouri, a municipal corporation (the "City"). AT&T Missouri and the City shall sometimes be referred to individually as a "Party," and collectively as the "Parties."
