Reference is made to the Confidential Private Placement Memorandum, including any attachments thereto (the “PPM”), relating to the offering of limited liability company membership interests (the “Interests”) in Dual City Advantage Fund LLC, a Delaware limited liability company (the “Fund”), and the Dual City Advantage Fund LLC Limited Liability Company Agreement (the “Fund’s Limited Liability Company Agreement”), all of which have heretofore been furnished to the undersigned subscriber (the “Subscriber”). Capitalized terms used but not defined herein shall have the meanings given to them in the Fund’s Limited Liability Company Agreement.
