THIS MEMORANDUM OF UNDERSTANDING (this “Agreement”) is entered into as of May 4, 2023 (the “Effective Date”), by and among the COWETA COUNTY DEVELOPMENT AUTHORITY (the “Authority”), COWETA COUNTY, GEORGIA (the “County”), HITACHI CONSTRUCTION MACHINERY AMERICAS INC. (the
