Confidential Treatment Requested Exhibit 10.1 ASSIGNMENT AND TRANSFER AGREEMENT This Assignment and Transfer Agreement (“Agreement”) is entered into by and between Paradigm Asset Holdings, Inc. and Paradigm Strategic Exploration, Inc. (collectively referred to as “Paradigm”) and Touchstone Resources USA, Inc., a Delaware corporation (“Touchstone”) as of the date noted below and under the following terms and conditions: I. SEI Seismic Data Paradigm agrees to transfer and assign certain licensing rights to Touchstone, wherein Touchstone will have the right to utilize some (REDACTED) of 3D seismic data and (REDACTED) of 2D seismic data from the database of Seismic Exchange, Inc. (“SEI”). The rights and obligations transferred to and assumed by Touchstone are set out the in the Volume Data Licensing Agreement which is attached hereto and incorporated herein as Exhibit “A”.
