The undersigned (the “Underwriter”), acting on behalf of itself and not as a fiduciary for you, offers to enter into this agreement (the “Purchase Contract”) with the Merced County Public Facilities Corporation (the “Corporation”) and the County of Merced, California (the “County”), which, upon your acceptance hereof, will be binding upon the County, the Corporation and the Underwriter. This offer is made subject to the written acceptance of this Purchase Contract by the County and the delivery of such acceptance to us at or prior to 11:59 P.M., Pacific time, on the date hereof and, if not so accepted, will be subject to withdrawal by the Underwriter upon notice delivered to the Corporation and the County at any time prior to the acceptance hereof by the Corporation and the County. Upon such acceptance this Purchase Contract shall be in full force and effect in accordance with its terms and shall be binding upon the Corporation, the County and the Underwriter.
