THIS AMENDMENT, ASSIGNMENT AND CONSENT TRI-PARTY AGREEMENT (the “Agreement”), made as of January __, 2006, by and among THE HOUSING AUTHORITY OF THE CITY OF STAMFORD, a public agency of the City of Stamford, with a notification address of P.O. Box 1376, 22 Clinton Avenue, Stamford, Connecticut 06904 (hereinafter referred to as "SHA"), RBS GREENWICH CAPITAL PROPERTY ACQUISITION CORP., a Delaware corporation with an office at 600 Steamboat Road, Greenwich, Connecticut 06830 (hereinafter referred to as “GCM”) and THE CITY OF STAMFORD, CONNECTICUT, a political subdivision of the State of Connecticut, having principal offices at 888 Washington Boulevard, Stamford, Connecticut 06904 (hereinafter referred to as the “City”).
