THIS ACQUISITION AGREEMENT (this “Agreement”), dated as of December 13, 2021 (the “Execution Date”), is entered into by and among Captor Capital Corp., an Ontario corporation (“Buyer”), Three Habitat Consulting Holdco Inc., a Delaware corporation dba One Plant (the “Company”), and the persons identified on the signature page hereto as the shareholders of the Company (the “Shareholders”).
