This Management Retention Agreement (the “Agreement”) is made and entered into by and between Judy Bruner (the “Employee”) and Palm, Inc. (the “Company”), effective as of the latest date set forth by the signatures of the parties hereto below (the “Effective Date”). This Agreement supersedes and replaces the Management Retention Agreement dated March 17, 2000 between Employee and the Company.
