This Settlement Agreement (“Agreement”) is made and entered into this 10th day of July, 2019 (“Execution Date”) by and between Showa Corporation and American Showa, Inc. (collectively, “Showa”) and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of classes of indirect purchasers of Electric Powered Steering Assemblies and Shock Absorbers (“Settlement Classes”), as more particularly defined in Paragraph 12 below.
