made and entered into this day of December 2012, by and among Indeck-Olean Limited Partnership ("Developer" with a Large Generating Facility) and Niagara Mohawk Power Corporation d/b/a National Grid, a corporation organized and existing under the laws of the State of New York ("Transmission Owner"). Developer or Transmission Owner each may be referred to as a "Party" or collectively referred to as the "Parties."
