We have entered into a sales agreement with Cowen and Company, LLC, or Cowen, dated April 8, 2022, relating to the sale of our American Depositary Shares, or ADSs, offered by this prospectus supplement. In accordance with the terms of the sales agreement, under this prospectus supplement we may offer and sell our ADSs, each of which represents six ordinary shares, nominal value £0.001 per share, having an aggregate offering price of up to $200,000,000 from time to time through Cowen, acting as our agent or principal.
