This Stipulation and Agreement of Settlement, dated as of April 12, 2017 (the “Stipulation”), is entered into between (a) the Pension Trust Fund For Operating Engineers and the Lake Worth Firefighters’ Pension Trust Fund, on behalf of themselves and the Settlement Class (defined below)1; and (b) defendants Rayonier Inc., Paul G. Boynton, Hans E. Vanden Noort, and Nancy Lynn Wilson, and embodies the terms and conditions of the settlement of the above- captioned Action. Subject to the approval of the Court and the terms and conditions expressly provided herein, this Stipulation is intended fully, finally and forever to compromise, settle, release, discharge, resolve, and dismiss with prejudice the Action and all claims asserted therein against Defendants as set forth below.
