These Standard Terms and Conditions of Sale (the “Agreement”), exclusively govern and contain all of the terms and conditions which apply to all sales of products by Top Seals GmbH (“Seller”) to any buyer (“Buyer”) of such products, whether purchased directly from Seller or indirectly from any third party (“Sales Contract”). This Agreement will not apply to Seller products which are sold pursuant to an authorized written agreement signed by Seller and Buyer which contains complete terms and conditions of sale, and expressly excludes all other, terms and conditions of sale.
