The Offering will commence on or about November 12, 2018 and is anticipated to end on the earlier of January 11, 2019, or the date on which the Company receives and accepts subscriptions for all Class A Interests (the “Offering End Date”). The terms and conditions of the Offering and minimum suitability standards for potential investors are subject to and are more particularly described in this Agreement and all schedules and exhibits to this Agreement, along with the Company’s Private Placement Memorandum dated November 12, 2018 relating to this Offering (the “PPM”), the Operating Agreement of North County Apartments Holdings LLC dated as of November 6, 2018 (the “Operating Agreement,” and collectively with this Agreement, its exhibits, and schedules, and the PPM, the “Offering Documents”). Capitalized terms used herein that are undefined have the same meanings ascribed to them in the Operating Agreement.
