AGREEMENT, made as of the day of , by and among White-Hot Software, Inc., a Delaware corporation (the “Company”), those persons listed on Schedule 1 hereto (collectively, the “Management Shareholders”); those persons listed on Schedule 2 hereto (collectively the “Investors”); and these “Additional Management Shareholders” who acquire shares of capital stock of the Company as described in Section 16 hereof. The Investors and the Management Shareholders are sometimes collectively referred to herein as the “Shareholders.”
