These Standard Terms and Conditions of Loans and Purchases of Receivables, dated February 20, 2020 (as hereinafter amended from time to time, the “Terms & Conditions”), are incorporated in and made a part of (i) the Revolving Loan Agreement or the Loan Agreement, as applicable (in either case, “Loan Agreement”), between Supplier (as defined below) and SellersFunding International Portfolio Ltd., a private limited company organized under the laws of England and Wales with UK Company Registration Number 12439031 (“SellersFunding”) or (ii) the Receivables Purchase Agreement (the “Receivables Purchase Agreement”), between Supplier and SellersFunding, as applicable, provided that certain terms or provisions are expressly designated herein as only applicable to the Loan Agreement or the Receivables Purchase Agreement in which case such terms and provisions shall only apply as so designated.
