amount of State Revolving Fund Program Bonds, Series 2010 (the “Bonds”) to be issued by the South Dakota Conservancy District (the “District”). The Bonds are described in the Preliminary Official Statement dated December , 2010 (the “Preliminary Official Statement”), the Series Resolution described below and the term sheet attached as Appendix I hereto. A final Official Statement reflecting the terms described in Appendix I shall be prepared in substantially the same form as the Preliminary Official Statement and is hereinafter referred to as the “Official Statement”. If and when accepted by you not later than 4:00 p.m., Central Time, on December , 2010, this document shall constitute our Bond Purchase Agreement.
