This Assignment and Assumption Agreement (this “Assignment”) is dated as of [ ], 201_, and is made and entered into by and between the CITY OF VERO BEACH, FLORIDA, a municipal corporation organized under the laws of the State of Florida (“Assignor”), and FLORIDA POWER & LIGHT COMPANY, a corporation organized under the laws of the State of Florida (“Assignee”). Assignor and Assignee are referred to herein individually as a “Party,” and collectively as the “Parties.”
