This Amended and Restated Employment Agreement (this “Agreement”), by and between Integra LifeSciences Holdings Corporation, a Delaware Corporation (the “Company”) and Peter J. Arduini (“Executive”), is entered into as of December 20, 2011, and shall be effective as of January 3, 2012 (the “Effective Date”). Effective as of the Effective Date, this Agreement amends and restates in its entirety that certain Employment Agreement, dated October 12, 2010, by and between the Company and Executive (the “Prior Agreement”).
